These Terms of Service ("Terms") constitute a legally binding agreement between you and PresTech AI ("Company," "we," "us," or "our") governing your access to and use of the prestechai.com website and all related services, tools, and features (collectively, the "Services").

Services Description

PresTech AI provides AI-powered automation consulting services for real estate professionals, including but not limited to:

• Custom automation solution development
• Implementation support and training
• ROI calculation tools and resources
• Educational content and insights
• Newsletter and email communications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

User Accounts and Registration

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials

You are granted a limited, non-exclusive, non-transferable license to access and use our Services for your personal or internal business purposes. You may not:

• Reproduce, distribute, modify, or create derivative works from our content
• Use our trademarks, logos, or branding without prior written consent
• Remove or alter any copyright, trademark, or proprietary notices
• Commercially exploit our content without authorization

Consulting Services and Deliverables

When you engage PresTech AI for consulting services, the specific scope, deliverables, timeline, and fees will be outlined in a separate Statement of Work (SOW) or service agreement. The following general terms apply:

• Scope: Services will be performed in accordance with the agreed-upon SOW
• Payment: Fees are due as specified in the SOW, typically via invoice with net-30 payment terms
• Cancellation: Either party may terminate services with 14 days' written notice, subject to payment for work completed
• Client Responsibilities: You agree to provide timely access to necessary information, systems, and personnel
• Deliverables: Ownership of custom deliverables transfers upon full payment, subject to our retained intellectual property rights

Disclaimers and Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of content
• Warranties that defects will be corrected

We do not guarantee specific results from our consulting services. ROI projections and estimates are based on assumptions and industry data and may not reflect actual outcomes.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRESTECH AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Business interruption or system failures
• Cost of substitute services or technology
• Damages arising from your use or inability to use our Services

Our total liability for any claims arising from or related to these Terms or our Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $1,000, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless PresTech AI, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of our Services, violation of these Terms, or infringement of any third-party rights.

Third-Party Services and Links

Our Services may integrate with or link to third-party services, websites, or applications (e.g., Calendly, Google Analytics, payment processors). We are not responsible for the content, privacy practices, or terms of service of these third parties. Your use of third-party services is at your own risk and subject to their respective terms.

Confidentiality

During the course of providing Services, we may have access to confidential information about your business. We agree to:

• Maintain the confidentiality of your proprietary information
• Use such information only for the purpose of providing Services
• Not disclose your confidential information to third parties without consent
• Return or destroy confidential information upon request or termination

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Dispute Resolution and Arbitration

Any disputes arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court, except that you may assert claims in small claims court if they qualify.

Arbitration will be conducted in Tampa, Florida, or another mutually agreed location. You agree to waive your right to a jury trial and to participate in class action lawsuits.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in Tampa, Florida.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of our Services after such changes constitutes your acceptance of the new Terms.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable SOW or service agreement, constitute the entire agreement between you and PresTech AI regarding your use of our Services and supersede all prior agreements and understandings.
